Name of Firm: Hughes Hubbard & Reed LLP

Accomplishment:
Assisted Staten Island Botanical Garden with its merger with the Snug Harbor Cultural Center.

Highlights:
Staten Island Botanical Garden (“the Garden”) approached Lawyers Alliance in October 2005 when it needed assistance in negotiating merger agreement with the Snug Harbor Cultural Center (Snug Harbor) and securing the necessary governmental approvals. Carolyn Levine along with her colleagues Thomas Schueller, Remi Silverman and Arinze Ike of Hughes Hubbard and Reed LLP represented the Garden in this matter.

The Garden is public and located on land owned by the city of New York Department of Parks. The Garden shared its space with Snug Harbor as well as responsibility for maintaining the groups. The organizations offered joint programs to the public. As both organizations shared park land, served a similar clientele, and offered complementary programming, the board of directors of the Garden and Snug Harbor decided to merge the two organizations to enhance the corporate identity of the two organizations and achieve economies of scale.

The regulatory approval process was time consuming but happily the State Department of Education Museum chartering division granted the merger final approval in June 2008. Ms. Levine and her colleagues were instrumental in drafting the merger documents and corporate policies, helping expand the programs. As a result, in addition to the programmatic improvements, the merger resulted in a stronger board governance model.
