Lawyers Alliance Trainings for Nonprofit Boards

Lawyers Alliance’s staff attorneys have extensive experience with nonprofit Board governance.  We are available to provide tailored Board trainings for individual Boards and staff.  Our offerings include:

  • Basic Board Governance Covers fiduciary duties and legal obligations under the NY Not-for-Profit Corporation Law and Internal Revenue Code 501(c)(3) (can be tailored to address organization’s particular governance structure). This training is particularly appropriate for new Board members.
  • How to Run a Board Meeting – Covers how to call a meeting, create agendas and minutes, what are the quorum and voting requirements, conflicts of interest, and more.
  • Meeting Minutes – Covers what should be included in minutes of Board and committee meetings, and addresses particular circumstances such as an executive session.
  • Board Committees – Covers legal requirements and best practices for forming and working in committees.
  • Conflicts of Interest – Covers the requirements of the NY Not-for-Profit Corporation Law and Internal Revenue Code with respect to transactions with insiders, as well as practical tips for common conflicts situations.


We charge a sliding flat fee for each training, based on the organization's annual revenue.

 If the revenue is:  <$1 million  $1 million to $3 million  Over $3 million
 Then the flat fee is:  $1,000  $1,500  $2,000

 

Flat fee includes up to 2 hours preparation and 1 hour presentation; additional time (including for travel) is charged at our usual hourly rates (between $225 and $350).
